H.G. Infra Enters Battery Storage Sector with New Subsidiary

H.G. Infra Engineering Ltd. has announced the incorporation of its wholly owned subsidiary, H.G. Gujarat Bess Pvt. Ltd. The new entity has been established as a Special Purpose Vehicle (SPV) to enter the battery energy storage system sector.

The company was officially registered on February 5, 2025, with an authorised capital of INR 15,00,000, divided into 1,50,000 equity shares of INR 10 each, and a subscribed capital of INR 15,00,000, also divided into 1,50,000 equity shares of INR 10 each.

"H.G. Gujarat Bess Pvt. Ltd. is incorporated in India vide certificate of incorporation dated February 05, 2025, as a wholly owned subsidiary company and a special purpose vehicle in the state of Rajasthan and is yet to commence its business operations," the firm said in its filing.

As a wholly owned subsidiary, H.G. Gujarat Bess Pvt. Ltd. is classified as a related party, with Girish Pal Singh, a promoter of H.G. Infra, serving as a Non-Executive Director.

Although the new entity has yet to commence operations, it is expected to play a crucial role in developing battery storage solutions. As this is a newly incorporated company, there is no immediate financial impact on H.G. Infra Engineering. The transaction was executed as a cash investment, as the filing states, "Initial subscription to the share capital of INR 15,00,000 divided into 1,50,000 Equity Shares of INR 10 each."

With this move, H.G. Infra Engineering aims to leverage its infrastructure expertise to support India’s energy transition by investing in advanced storage technologies, ensuring a more stable and sustainable power grid.
