Bharti Airtel to Acquire 26 Percent Stake in AMP Energy Green Three

Bharti Airtel Ltd. has announced the acquisition of a 26 percent equity stake in AMP Energy Green Three Pvt. Ltd., a special purpose vehicle (SPV) created to develop and operate a hybrid wind-solar captive power plant.

The acquisition involves 3,78,90,005 equity shares valued at INR 10 each, amounting to a total investment of INR 37.89 crore.

In its regulatory filing to the National Stock Exchange of India (NSE) and the Bombay Stock Exchange (BSE), Airtel stated that the acquisition aligns with the company’s strategy to procure renewable energy to meet regulatory requirements. The move will ensure cost-effective green energy supply for Airtel’s operations, contributing to the company’s sustainability goals.

AMP Energy Green Three, incorporated on March 19, 2020, is a subsidiary of AMP Energy Green Pvt. Ltd. The SPV is responsible for developing, constructing, and maintaining a 50 MW hybrid wind-solar power project located at Jodh Singh Ka Gaon in Barmer, Rajasthan. The project will be connected to the 220 kV Fatehgarh grid substation of Power Grid Corporation of India Ltd. (PGCIL) and supply green energy to industries across India through the interstate transmission network.

The acquisition is expected to be completed following necessary regulatory approvals, including grid connectivity and open access permissions. The captive power plant is anticipated to become operational by the second quarter of FY 2025-26.

Airtel confirmed that this transaction does not fall under related party transactions, ensuring compliance with governance and transparency standards.
