Adani Energy Solutions Acquires Mahan Transmission

Adani Energy Solutions Ltd. (AESL) has signed a Share Purchase Agreement (SPA) with REC Power Development and Consultancy Ltd. (RECPDCL) to acquire 100 percent equity in Mahan Transmission Ltd. (MTL).

The agreement is part of AESL’s strategy to expand its transmission infrastructure and enhance power evacuation capacity.

Mahan Transmission Ltd., incorporated in November 2024, operates in the electric utilities sector as a transmission service provider. The entity will play a critical role in evacuating 1,230 MW of power from Adani Power’s upcoming 1,600 MW expansion project at Mahan in Singrauli district, Madhya Pradesh. The power will be fed into the state grid, ensuring improved electricity transmission and grid stability.

The acquisition was completed through a cash transaction, with AESL purchasing 100 percent of MTL’s equity shares at a face value of INR 10 each. MTL has an authorized and paid-up share capital of INR 5 lakh. No regulatory approvals were required for the transaction.

Adani Energy Solutions emphasised that this acquisition aligns with its long-term vision of strengthening India's power infrastructure.
